End User License Agreement

Provider: Carna Inc., a Delaware Corporation
This End User License Agreement (“Agreement”) is a legal contract between you (“User”, “you”, or “your”) and Carna Inc. (“Carna”, “we”, “us”, or “our”), a Delaware corporation with its principal place of business in the Commonwealth of Massachusetts. This Agreement governs your access to and use of Carna’s proprietary software-as-a-service (SaaS) platform, including its healthcare provider web application and patient mobile application, and any related content, services, and updates (collectively, the “Platform”).
BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THIS AGREEMENT.
IF YOU DO NOT AGREE TO THIS AGREEMENT, DO NOT ACCESS OR USE THE PLATFORM.
1. LICENSE GRANT
Subject to your compliance with this Agreement, Carna grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely:
- In accordance with this Agreement
- For personal healthcare management (for patients) or in the scope of authorized clinical duties (for healthcare providers)
- In compliance with all applicable local, national, and international laws and regulations
2. ELIGIBILITY AND USER CATEGORIES
The Platform is intended for:
- Patients accessing their health records and communicating with providers
- Healthcare providers authorized to use the Platform within a clinical, licensed, or administrative role
You represent that you are at least 18 years old (or have the requisite legal capacity), and that if you are acting on behalf of an organization or individual (e.g., a minor or healthcare entity), you are authorized to do so.
3. RESTRICTIONS ON USE
You may not:
- Modify, copy, reproduce, or create derivative works based on the Platform
- Reverse engineer, decompile, or attempt to extract the Platform’s source code
- Use the Platform in any way that violates applicable laws or ethical healthcare standards
- Circumvent security features or gain unauthorized access to data
- Use the Platform to transmit harmful, unlawful, or inappropriate content
- Misrepresent your identity or professional credentials
4. INTELLECTUAL PROPERTY
The Platform and all associated intellectual property rights are and shall remain the exclusive property of Carna Inc. or its licensors. No rights are granted to you other than those expressly stated in this Agreement.
5. HEALTHCARE COMPLIANCE
Carna acknowledges the sensitivity of healthcare data and supports compliance with relevant laws and standards, including but not limited to:
- The Health Insurance Portability and Accountability Act (HIPAA) in the U.S.
- The General Data Protection Regulation (GDPR) in the EU
- Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA)
- Other applicable national and regional healthcare privacy regulations
Users are solely responsible for ensuring their own compliance when accessing or transmitting protected health information (PHI) via the Platform.
6. DATA PRIVACY AND SECURITY
Carna’s collection, use, and protection of personal data are governed by our
Privacy Policy. By using the Platform, you consent to:
- The collection and processing of technical, usage, and health-related data
- Carna’s use of third-party subprocessors, where required, under strict privacy obligations
- Data transfers across borders where necessary to provide services
Data security practices are in place, but you acknowledge that no system is entirely immune from unauthorized access or breaches.
7. FUTURE AI FEATURES
Carna may, in the future, integrate artificial intelligence (AI) features designed to enhance clinical decision-making, operational efficiency, or user experience. Such features:
- Will be clearly labeled and optionally enabled
- Will not replace professional medical judgment
- Will be designed to comply with applicable laws and industry standards
- Will be subject to ethical review before deployment
8. AVAILABILITY AND SUPPORT
While Carna aims to ensure 24/7 access to the Platform, we do not guarantee uninterrupted availability. We may perform routine maintenance or respond to emergencies. Support services are available via support@carna.health.
9. TERMINATION
Carna may suspend or terminate your access to the Platform at any time for violation of this Agreement, legal requirements, or security reasons. Upon termination:
- All rights granted to you shall immediately cease
- Carna may retain or delete data in accordance with applicable law and internal data retention policies
- You must cease all access and delete any locally stored materials derived from the Platform
10. DISCLAIMER OF WARRANTIES
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”
CARNA DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE.
THE PLATFORM DOES NOT PROVIDE MEDICAL ADVICE. ALWAYS CONSULT A LICENSED PHYSICIAN OR HEALTHCARE PROVIDER FOR MEDICAL DECISIONS.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARNA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF SUCH DAMAGES.
CARNA’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE PLATFORM SHALL NOT EXCEED THE AMOUNTS YOU PAID TO CARNA (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of laws rules. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Suffolk County, Massachusetts for all disputes arising under or relating to this Agreement.
13. CHANGES TO THIS AGREEMENT
Carna may modify this Agreement at any time. Changes will become effective upon notice (e.g., via in-app alert, email, or updated posting). Continued use of the Platform after such notice constitutes acceptance of the revised terms.
